CLAUSE 3. DELIVERY PERIOD AND QUANTITY
Quantity : 20,000 Dry Metric Tons
Tolerance : +/- 10 % at Seller’s option
Shipment : Within 45 days of workable Letter of Credit, in partial shipment.
CLAUSE 4. QUALITY OF LUMPS (10-50MM)
Lumps (10-50mm) to be delivered hereunder shall have the following specifications:

CLAUSE 5. PRICE
The price of Lumps (10-50mm) under this contract is USD 115 per Dry Metric Ton CFR C.Q.D China main port. (On the Basis of Fe 62.00%).
CLAUSE 6. PRICE ADJUSTMENT
A) Fe Content :
In respect of shipment of Lumps (10-50mm) which does not meet the Fe specification set forth in Clause 4, the price referred to in Clause 5 shall be adjusted in accordance with Fe content as determined pursuant to the provisions of Clause 9 as follows:
Bonus
The base price shall be increased by USD3.00 per dmt for each 1% Fe above 62.0%, fractions pro-rata.
Penalty
The base price shall be decreased by USD3.00 per dmt for each 1% Fe below 62.0% up to and including 61.0%, fractions pro-rata.
Buyer has the right to reject the cargo if Fe content below 61.00%
B) For Other Elements
If the shipment does not meet any of the chemical specifications other than Fe content provided in Clause 4 as finally determined in accordance with the provisions of Clause 9, the base price shall be decreased as follows (fractions pro-rata) :-
i)For excess Phosphorus
At the rate of USD0.10 per dry metric ton for each 0.01% Phosphorus in excess of 0.07%. Fractions pro-rata
ii)For excess Sulphur
At the rate of 0.10 USD per dry metric ton for each 0.01% Sulphur in excess of
0.07%. Fractions pro-rata
iii) For excess Al2O3
At the rate of USD 0.10 per dry metric ton for each 1.0% Al2O3 in excess of 2.50%. Fractions pro-rata
iv) For excess SiO2
At the rate of USD 0.10 per dry metric ton for each 1.0% SiO2 in excess of 9.00%. fractions pro-rata, reject if above 10%
C) Size Penalty
Oversize: USD 0.50 per mt on natural basis fractions prorata shall be applied to the total quantities of Lumps (0-50mm) for each 1% above 50 mm in excess of 90%
Undersize: USD 0.50) per mt on natural basis fractions prorate shall be applied to the total quantities of Lumps (0-50mm) for each 1% below 10 mm in excess of 10%
CLAUSE 7. PAYMENTS
The Buyer shall issue non-operative LC or a Draft of LC swifted from its bank to Seller bank against which the Seller will send 2% PBG to buyer’s account within 2 working days, and the buyer will then issue the Operative Non Transferable Letter of Credit payable at sight.
The Letter of Credit payable at sight shall incorporate the following terms & conditions:
- Allow for 10% more or less in value and quantity.
- Be valid for 30 days from the latest shipment date
- Permit typographical errors and spelling mistakes not affecting quantity.
- Charter party Bill of Lading acceptable
Payment under the L/C shall be effected on the following conditions:
Provisional payment against Seller’s draft for the 98% of the value of the cargo shall be made against presentation of the following documents:
nProvisional invoices for 98% of CFR value in 2 Originals and 3 copies, indicating the contract number, B/L number, L/C number, commodity name, value of goods shipped, and name of the carrying vessel.
nFull set of "Clean on board" bill of lading in three originals and three non-negotiable copies made out to order, blank endorsed marked "Freight Prepaid" notifying to buyer
nCertificate of quality in 1 original and 3 copies issued by SGS/CCIC Thailand, showing actual result of the test of chemical composition and moisture content at the loading port.
nCertificate of Weight in 1 original and 3 copies issued by SGS/CCIC Thailand certifying the actual surveyed weight of cargo shipped at loading port.
nCertificate of Origin issued by competent authority in Thailand
The balance amount of 2% due to the seller after provisional payment shall be paid inside the L/C at sight against seller’s final invoice. Seller’s Invoice for 2% payment shall be based on CIQ report at discharge port as provided in clause 8 and clause 9 within 30 days after the B/L issued date.
lBeneficiary’s final invoice in two originals.
lInspection Certificate of weight in one copy issued by CIQ at discharge port.
lInspection Certificate of Quality in one copy issued by CIQ at discharge port.
In case CIQ certificate of weight and / or quality is not received by the seller from the buyer within 30 days after the B/L issued date, then the seller has the right to negotiate the final invoice based on load port Certificate of Quality and Certificate of Weight. In such a case a declaration by the seller of non-receipt of CIQ certificate and the photocopy of load port weight and quality results to accompany documents.
